Terms of Service

The rules for using Avocado Bets — a peer-to-peer social betting platform where you bet against your friends, not against us.

Effective July 7, 2026

These Terms of Service (the “Terms”) are a binding legal agreement between you and Avocado Social Inc. (“Avocado,” “Company,” “we,” “us,” or “our”), the operator of the Avocado Bets mobile application and related services (collectively, the “Service”). By creating an account, tapping “I Agree,” or otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Please read carefully

Section 18 contains a binding arbitration agreement and a class-action waiver that affect your legal rights. Section 15 limits our liability. Please read them in full.

1.Eligibility & Account Registration

To use the Service, you represent and warrant that you:

  • Are at least 18 years of age (or the age of legal majority in your jurisdiction, if higher);
  • Are a natural person creating an account for your own personal, non-commercial use;
  • Have not previously been suspended or removed from the Service;
  • Are legally permitted to use the Service and to participate in any wager you enter under the laws that apply to you; and
  • Will provide accurate, current, and complete information and keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at kartikraghuram@gmail.com if you suspect unauthorized use. You may not create more than one account, sell or transfer your account, or allow another person to use your account.

2.Nature of the Service — We Are Not the House

The most important thing to understand

Avocado Bets is a peer-to-peer (P2P) social platform. You wager your own funds directly against other users — typically friends. We are not a bookmaker, sportsbook, casino, or “house.” We do not set odds or lines, we do not take a position in any bet, and we never bet against you or profit from your losses.

The Service is a neutral technology platform that lets users create, join, fund, livestream, and settle wagers among themselves on subjects they choose — for example personal challenges, fitness goals, finance and markets, sports, gaming, and countless other everyday topics. Every wager is an agreement between users. Avocado provides the tools that facilitate that agreement and holds and transfers user funds according to outcomes that the participants themselves determine.

Because we are not a party to any wager, we do not guarantee, endorse, verify, or take responsibility for the subject matter, fairness, legality, or outcome of any bet. Disputes about a wager's outcome are primarily between the participants (see Section 3).

3.How Wagers Work

Creating and joining

Any eligible user may create a wager by specifying a title, description, the possible outcomes or options, whether the wager is monetary or non-monetary, an amount, and the users invited to participate. Wagers may have a scheduled start and expiration. You may place funds on one selected outcome per wager. Once you fund a wager, the corresponding amount is debited from your available balance and committed to that wager.

Determining the winner

Outcomes are decided by the participants themselves through voting. Where voting is used, the outcome that receives the most votes among invited participants prevails. If a vote results in a tie or cannot be resolved, the wager is cancelled and committed funds are returned to the participants. Avocado does not adjudicate the real-world truth of a wager; we tally and act on the participants' votes and selections.

Payouts

When a wager settles, the total pooled funds are distributed to the participant(s) who backed the winning outcome, generally in proportion to the amount each contributed. If no participant backed the winning outcome, the wager is cancelled and funds are returned. Settlement adjusts your in-app balance; it is not a separate cash payment. Settlements and payouts credited by the Service are final.

Non-monetary wagers

You may also create wagers that involve no money (for bragging rights, forfeits, or other stakes you arrange yourselves). Any non-monetary stake is strictly between the participants, and Avocado has no role in enforcing it.

4.Public vs. Private Bets & Livestreams

When you create a wager or start a livestream, you choose its visibility:

  • Public — visible to the broader Avocado community, including in feeds, discovery, and to your friends and other users beyond the direct participants.
  • Private — visible only to the specific participants you invite.
Content ownership — public vs. private

By making a wager or livestream Public, you agree that all content forming part of that public wager or livestream — including video, audio, images, commentary, and chat — may be owned, reproduced, and used by Avocado Social Inc. for our own purposes, including advertising, promotion, and marketing, at our discretion and without additional compensation to you (see the license in Section 10). Content that is part of a Private wager or livestream is not subject to this promotional-use right and will not be used by us for advertising.

Choosing “Public” is your decision. If you do not want your content used for our advertising or seen beyond your invited participants, keep the wager or livestream Private. Once content is made public and used or distributed, we may be unable to fully retract copies already displayed, cached, or shared.

5.Your Balance, Deposits & Withdrawals

Your in-app balance reflects funds you have deposited plus your net wager results, minus withdrawals and applicable fees. Your balance is a record of value held for you to use within the Service — it is not a bank account, is not a deposit, earns no interest, and is not insured by the FDIC or any other agency.

Deposits

You add funds using our third-party payment processor. Deposits fund only your own wagers; you may not use the Service to transfer money to other users except through the outcome of a wager. Deposits are subject to minimum and maximum amounts displayed at the time of the transaction.

Withdrawals

You may request a withdrawal of your available (non-committed) balance to a linked bank account through our third-party payout provider. Withdrawals require a verified payout method and may be subject to identity verification, minimum amounts, rate limits (for example, a short waiting period between withdrawals), and review for fraud, money-laundering, or compliance reasons. Funds committed to an active wager are not available for withdrawal until that wager settles or is cancelled.

Payments and payouts are processed by third parties (see our Privacy Policy). Your use of those services may be subject to their own terms, and processing times depend on those providers and your financial institution. We are not responsible for delays, holds, or failures caused by a payment processor or bank.

6.Fees

Avocado does not profit from the outcome of wagers. We charge modest processing fees on money movement to operate the Service. Current fees are:

The exact fee for a given transaction is shown to you before you confirm it. Fees may cover or approximate the costs charged to us by payment processors, banks, and compliance providers. We may change our fees at any time; the fee in effect at the time you confirm a transaction is the one that applies to it. Fees are generally non-refundable once a transaction is processed.

7.Jurisdictional & Monetary Restrictions

Laws governing wagering vary widely by location and change over time. You are solely responsible for ensuring that your use of the Service, and each wager you participate in, is legal where you are located.

Monetary (real-money) wagering is only available to users physically located in jurisdictions where we permit it. The Service may restrict or block monetary wagering based on the location or state you provide, and may impose per-wager or daily limits in certain jurisdictions. Some regions may permit only non-monetary (social) wagers, or none at all. By funding or accepting a monetary wager, you represent and warrant that you are physically present in a jurisdiction where you are legally permitted to do so.

Your responsibility

You may not use a VPN, proxy, location spoofing, false state or address information, or any other method to misrepresent your location or circumvent jurisdictional restrictions. Doing so is a material breach of these Terms and may result in forfeiture of funds tied to affected wagers, account suspension, and referral to authorities.

8.Identity Verification (KYC)

To comply with financial, anti-fraud, and anti-money-laundering (AML) requirements, and as a condition of monetary wagering and withdrawals, we may require you to verify your identity through our third-party verification provider. This may include providing your legal name, date of birth, a government-issued identification document, and related information, and may involve automated checks to confirm the document is authentic and belongs to you.

We may refuse, suspend, or reverse transactions, or restrict or close accounts, where verification fails, where information appears inaccurate or fraudulent, or where required by law. How we handle this information is described in our Privacy Policy.

9.Taxes

You are solely responsible for determining, reporting, and paying any taxes that apply to your wagering activity, winnings, or withdrawals. Depending on your activity and jurisdiction, you or a payment provider may be required to report certain payments to tax authorities, and we or our providers may request additional information (such as a taxpayer identification number) or issue tax forms as required by law. Avocado does not provide tax advice; consult your own advisor.

10.User Content & License Grant

“User Content” means anything you create, upload, post, stream, or share through the Service — including wagers you create, text, comments, chat messages, images, video, audio, and livestreams.

You retain ownership of the intellectual-property rights you hold in your User Content, subject to the licenses below. You represent and warrant that you own or have all rights necessary to your User Content and that it does not infringe or violate the rights of any third party or any law.

License for operating the Service

You grant Avocado a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting), display, transmit, and distribute your User Content as necessary to operate, provide, and improve the Service (for example, delivering your livestream to viewers and showing your public wagers in feeds).

License for public content — advertising & promotion

Public content license

For any User Content that is part of a Public wager or livestream, you additionally grant Avocado a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license — and, to the fullest extent permitted by law, assign to Avocado ownership — to use, reproduce, distribute, modify, adapt, publicly perform, publicly display, and create derivative works from that content for any purpose, including advertising, marketing, and promotion of Avocado and the Service, without further notice, attribution, or compensation to you. This includes the right to use your name, username, likeness, voice, and image as they appear in that public content for such purposes. This promotional license does not apply to Private wagers or livestreams.

You waive any moral rights and rights of publicity in the public content to the extent necessary for the uses described above. The licenses you grant for content already used or distributed survive deletion of the content or termination of your account, though we will stop making new promotional uses of public content following a valid request to the extent reasonably practicable.

11.Prohibited Conduct & Fair Play

You agree not to, and not to attempt to or help others to:

  • Use the Service for any unlawful purpose, or to wager on the commission of a crime, on outcomes involving minors, or on any illegal activity;
  • Cheat, defraud, collude, engage in match-fixing or “wash betting,” or use multiple or fake accounts to manipulate outcomes or move money;
  • Misrepresent the outcome of a wager, including by using pre-recorded, edited, staged, or artificially generated media (such as deepfakes) to simulate a live event or a result;
  • Post or transmit content that is illegal, sexually explicit, depicts real-world violence or harm, is harassing, hateful, defamatory, or that promotes self-harm, violence, or substance abuse;
  • Infringe anyone's intellectual-property, privacy, or publicity rights;
  • Launder money, finance illegal activity, or use the Service to evade financial reporting or sanctions;
  • Harass, threaten, impersonate, or intimidate other users or Avocado staff;
  • Circumvent geographic, age, or eligibility restrictions;
  • Introduce malware, scrape, reverse-engineer, overload, or interfere with the Service or its security; or
  • Use bots or automation, or access the Service other than through our official interfaces.

Violations may result in removal of content, freezing or forfeiture of funds tied to offending activity, suspension or termination, and reporting to law enforcement.

12.Content Moderation & Reporting

We may use automated tools (including third-party and AI-based moderation services) and human review to screen, flag, filter, or remove content — including usernames, profile details, wager titles and descriptions, images, comments, and livestreams — that we believe violates these Terms or the law. We may restrict a user's ability to broadcast or participate. We are not obligated to monitor content, and moderation is provided on a reasonable-efforts basis.

The Service provides tools to report content or users and to block other users. We may act on reports at our discretion, including automatically where a high volume of reports indicates likely abuse. We are not liable for User Content created by others, and to the extent applicable we are protected as an interactive computer service under Section 230 of the Communications Decency Act.

13.Our Intellectual Property

The Service — including the Avocado Bets name and logo, software, design, text, graphics, and all related intellectual property — is owned by Avocado Social Inc. or its licensors and is protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service except as expressly permitted. All rights not expressly granted are reserved.

14.Disclaimers & Assumption of Risk

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any content or outcome is accurate, lawful, or reliable.

You acknowledge and accept the risks of P2P wagering, including that: you may lose the funds you wager; other users may act dishonestly, dispute outcomes, or attempt fraud (including through edited or artificial media); real-money wagering may be restricted or unlawful in your location; and technical issues such as latency, connectivity loss, server errors, or livestream interruptions may affect wagers, streams, or timing. Wagers are between users; you assume full responsibility for the wagers you choose to enter and for evaluating the other participants.

15.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVOCADO SOCIAL INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FUNDS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, ANY WAGER, ANY OTHER USER'S CONDUCT OR CONTENT, ANY TECHNICAL FAILURE, OR ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNT — WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the greatest extent permitted by law.

16.Indemnification

You agree to defend, indemnify, and hold harmless Avocado Social Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your User Content; any wager you participate in; your violation of these Terms or any law; or your infringement of any third party's rights.

17.Suspension & Termination

You may stop using the Service and delete your account at any time. We may suspend, restrict, or terminate your access to the Service or your account, remove content, and withhold or freeze funds, with or without notice, if we reasonably believe you have violated these Terms or the law, engaged in fraud or abuse, or where necessary to comply with legal or compliance obligations or to protect the Service or other users.

On termination, your available balance (less amounts subject to legitimate holds, fees, chargebacks, investigations, or legal requirements) may be withdrawn subject to identity verification and applicable limits. Sections that by their nature should survive termination — including content licenses already granted, disclaimers, limitation of liability, indemnification, and dispute resolution — survive.

18.Dispute Resolution & Arbitration

This affects your legal rights

Please read this section carefully. It requires most disputes to be resolved by binding individual arbitration and waives your right to a jury trial and to participate in a class action.

Informal resolution first. Before starting arbitration, you agree to contact us at kartikraghuram@gmail.com and try in good faith to resolve the dispute informally for at least 30 days.

Binding arbitration. Except as noted below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis, administered by a recognized arbitration provider under its applicable rules. The arbitration will be governed by the Federal Arbitration Act. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Avocado agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or Service security. Disputes about the outcome of a wager are between the participating users; Avocado is not a party to those disputes and this section does not obligate us to resolve them.

If any portion of this Section is found unenforceable, the remainder will remain in effect, except that the class-action waiver is non-severable.

19.Responsible Play

Avocado Bets is intended for social entertainment. Never wager more than you can afford to lose. Wagering can be addictive. If you or someone you know may have a gambling problem, please seek help — in the United States you can call or text the National Problem Gambling Helpline at 1-800-522-4700, available 24/7 and confidential. We may offer tools to help you manage your activity and may limit or restrict accounts that show signs of harmful behavior.

20.Changes, Governing Law & General Terms

Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will provide notice (for example, in the app or by updating the effective date). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Governing law. These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws principles. Subject to the arbitration agreement above, any matter not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

Entire agreement; severability; waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and Avocado regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver.

Assignment. You may not assign these Terms without our consent. We may assign them, including in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
